Nonprofits must disclose their audited financial records. They are not obligated to disclose discussions of governance and management oversight.

Why do my questions disappear from YA just 3 minutes after it is up on the board?

Posted on July 6th, 2010 by admin in board minutes | 1 Comment »

I just asked a very G rated question to test the system and it appeared then suddenly disappeared. What is up with that?
The questions are not deleted, they just disappear from the board.

If they were not removed as violations, it may be the random glitch that seems to be happening lately. Things tend to ‘blink’ in and out from one server to another. I think they are having some type of server problem. It should get fixed, eventually.

If it was due to a violation, remember that even G-rated questions can break the rules. There are a LOT of rules on here. If you break them, your postings can be reported and removed, very fast.

Here are links to learn about all those rules.

First Ten Minutes WBAI 2010-05-12 Local Station Board Meeting

Posted on July 5th, 2010 by admin in board minutes | No Comments »

This meeting, although effectively disrupted by JUC, showed significant advances in that (1) Manijeh Saba, our only truly NONALIGNED delegate, was able to get JUC’s Sara Flounders to give up her obstinate (and successful) parliamentary obstruction, thereby breaking the logjam between JUC (Justice and Unity Coalition) and the Independents and allowing the meeting to continue.

Also (2) Gary from Staten Island seems to have radically reformed from his wildly confrontational tactics in his fanatical advocacy of Red China.

See 2010-05-12 DRILLING DOWN v. 2 (title changed) for observations on the current state of the conflict.

1st 10 min ends with voting: Lisa Davis’s speech on Waivers called Dilatory by Alex Steinberg – Voting on motion to put Items 11 (Waivers) and 12 (Scheduling future LSB meetings) after Item 6 (Treasurer’s report) – Fails 7-9 after the ten min is up –

I’m so happy to present to you these moving images!

Video recordings of complete meetings are for sale on disks for $35.00 or $45.00 per meeting plus $7.00 P&H. Distribution disks may contain partial transcription, high resolution still shots, extra footage before or after meetings, or interviews.

The Board members of my company are coming to visit our department and will be in my section for 5 minutes!?

Posted on July 4th, 2010 by admin in board minutes | 1 Comment »

How do I make the most of these 5 minutes in their spotlight? I guess they will already eat up at least one or two of these in the formalities of intros and greetings. So I may be left with just three minutes to make my mark. Mates, give me some clever ways to handle this without being seen to fall over my heels to impress.

Thank you.

I would just be aware of who they are, introduce yourself, maybe mention something they’ve recently done/put into action, and then get on with your work. They’re obviously there just to meet people and see how your section works, so I personally wouldn’t get too excited ;-)

When one ‘takes minutes’ at a board meeting, what exactly does that entail?

Posted on June 29th, 2010 by admin in board minutes | 4 Comments »

Minutes are considered legal documents by the auditors, IRS/Tax Office and courts, and they represent the actions of the board. Many assert that if it’s not in the minutes, it didn’t happen.

There is no standardized level of content and format for board minutes. In courts, as important as what you did is that you were reasonable when you did it. Therefore, sufficient information should be included to describe how board members reasonably came to reasonable decisions.

Include the name of the organization, date and time of meeting, who called it to order, who attended and if there a quorum, all motions made, any conflicts of interest or abstainments from voting, when the meeting ended and who developed the minutes.

The secretary of the board usually takes minutes during meetings. Written minutes are distributed to board members before each meeting for member’s review. Minutes for the previous meeting should be reviewed right away in the next meeting. Any changes should be amended to the minutes and a new version submitted before the next meeting where the new version is reviewed to be accepted. Minutes should be retained in a manual and shared with all board members.

Does a California non-profit have to keep minutes of its board meetings?

Should my HOA make available to it’s owners the minutes of board meetings ?

Posted on June 23rd, 2010 by admin in board minutes | 4 Comments »

board is to operate under roberts rules of order

Yes they should.

Have you looked at the HOA docs to see what is stated about minutes of meetings?

My POA posts them on the POA web site…albeit some time after the fact.
